These Terms of Service ("Terms") form a binding agreement between you and Zerione ("Zerione," "we," "us," or "our") governing your access to and use of our website, applications, and services ("Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
Zerione provides software that helps you understand, review, manage, and govern agreements, including AI-assisted analysis, drafting support, electronic signing, search, and lifecycle tracking. We may add, change, or remove non-material features over time. For changes that materially reduce the core functionality of a paid plan, we will provide at least thirty (30) days' prior written notice, and paid subscribers may cancel for a pro-rata refund of prepaid fees. The Service is provided on an ongoing basis and may evolve as we improve it.
You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a binding contract to use the Service. The Service is intended for business and professional use.
You are responsible for the accuracy of the information you provide, for safeguarding your account credentials, and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a security or legal risk.
Where reasonably practicable, Zerione will provide notice of a material breach and allow you thirty (30) days to cure the breach before suspending or terminating your account. Zerione may suspend or terminate an account immediately without a cure period where necessary to protect the security, integrity, availability, or lawful operation of the Service, comply with applicable law, or prevent fraud or abuse. Any broader termination rights and post-termination obligations are governed by Section 14.
Zerione provides intelligence to support human judgment. It does not constitute legal advice and is not a substitute for a qualified attorney. The Service may summarize, analyze, and flag aspects of your agreements, but you are responsible for your decisions. For legal advice about a specific situation, consult a licensed lawyer in the relevant jurisdiction.
You agree not to:
You retain all rights to the agreements and content you upload or create ("Your Content"). You grant Zerione a limited, non-exclusive license to host, process, and display Your Content solely to operate and provide the Service to you. Zerione will not use Your Content to train, fine-tune, or improve any AI or machine learning models, whether foundational or otherwise, without your separate, explicit written consent. You are responsible for Your Content and for having the necessary rights and permissions to use it with the Service.
If you voluntarily provide suggestions, ideas, feature requests, enhancement proposals, or other feedback regarding the Service, you grant Zerione a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that feedback to develop, improve, and operate the Service. This does not transfer ownership of Your Content.
The Service, including its software, design, text, and underlying technology, is owned by Zerione and protected by intellectual property laws. Subject to these Terms and any applicable subscription, Zerione grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes during your authorized subscription period. Except for the rights expressly granted to you, we reserve all rights in and to the Service. You may not copy, modify, distribute, or create derivative works from the Service without our permission.
Some features of the Service are offered on a paid basis. By purchasing a paid plan, you agree to the following:
The Service may integrate with or rely on third-party services (such as cloud hosting, AI processing, payment, e-signature, and storage providers). Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate or complete. You are responsible for reviewing outputs before relying on them.
To the maximum extent permitted by law, Zerione and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid to us in the twelve months immediately preceding the claim. The USD 100 floor shall not apply to paid subscribers.
Nothing in these Terms limits or excludes liability for fraud, fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited or excluded under applicable law.
You agree to indemnify and hold harmless Zerione and its affiliates from any third-party claims, damages, liabilities, and reasonable expenses arising directly from (a) Your Content infringing a third party's intellectual property rights, or (b) your material violation of these Terms or applicable law, in each case to the extent not caused or contributed to by Zerione's own negligence or misconduct.
Zerione will promptly notify you of any indemnified claim, provide reasonable cooperation at your expense, and permit you to control the defense and settlement of the claim, provided that any settlement admitting fault or imposing obligations on Zerione requires Zerione's prior written consent.
You may terminate your account or stop using the Service at any time. Zerione may suspend or terminate your access for material breach of these Terms, fraud, abuse, security threats, or legal compliance requirements. Except where immediate action is reasonably necessary to protect the Service, its users, or to comply with applicable law, Zerione will provide at least fourteen (14) days' prior written notice and an opportunity to cure before termination.
Upon termination:
We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after the thirty (30) day notice period constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect and receive a pro-rata refund of any prepaid fees for the unused portion of your billing period.
These Terms are governed by the laws of United Arab Emirates, without regard to its conflict-of-law principles. Upon incorporation of Zerione's operating entity, the applicable courts and venue will be updated accordingly. Where mandatory consumer protection laws require otherwise, those laws will continue to apply.
Before bringing a formal claim, you agree to contact us to seek a good-faith resolution. Any disputes that cannot be resolved informally will be handled in accordance with the governing law and venue specified above, or as otherwise required by applicable law.
